Are you a seasoned professional with a background in legal or company secretarial duties? PPC Cement is looking for a skilled Assistant Group Company Secretary to join our team. If you have a passion for business administration and governance, this is the perfect opportunity for you!
As the Assistant Group Company Secretary, you will support the Company Secretary in ensuring the Group’s compliance with statutory and regulatory requirements. You will play a crucial role in maintaining effective governance and administration within the Group.
Assist the Group Company Secretary with onboarding new Directors by updating onboarding packs with the latest policies.
Help Directors with Diligent Boards and diary arrangements.
Prepare the first draft of the Non-Executive Directors’ fee schedule quarterly.
Track meeting attendance.
Prepare the annual group calendar and meeting invitations according to approved work plans.
Liaise with Sponsors and transfer secretaries.
Assist with the preparation of various reports for the Annual Report.
Assist with meeting preparations for PPC Limited, including agendas, notices, minutes, and action items for Board, Committees, Annual General Meetings, and Trust meetings.
Distribute board and committee packs to the Group board at least seven business days before meetings.
Send reminders with deadlines for action item lists.
Ensure regulatory compliance and prepare all statutory returns as required by legislation.
Draft board resolutions and minutes for subsidiary companies.
Distribute and monitor resolutions of the Group board and its committees.
Maintain relevant registers and handle duties related to CIPC updates and filings.
Assist in-country company secretaries with director due diligence documents and changes.
Handle administrative queries from South African and international subsidiary companies.
Prepare extracts of resolutions and minutes for Board, AGM, and Committees proceedings.

Perform various ad hoc secretarial and administrative duties, including general office administration for group legal and secretarial services.
Accept and distribute correspondence (electronic and hard copies).
Maintain the departmental filing system.
Manage diaries and screen calls.
Assist with travel arrangements and visa applications when required.
Contribute to the establishment of internal Company Secretariat procedures, guidelines, and templates.
Undertake any ad hoc duties as guided by the Company Secretary.
